Welcome to Todaywise. These Terms and Conditions ("Terms") govern your access to and use of the Todaywise mobile application and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

Business Information: Todaywise is operated as a Sole Proprietorship by an individual business owner based in Amaravati, Andhra Pradesh - 522020, India. We are not registered under the Companies Act, 2013, and therefore do not have a Company Identification Number (CIN).

1. Acceptance of Terms

By downloading, installing, or using Todaywise, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use our Service. These Terms constitute a legally binding agreement between you and Todaywise (Sole Proprietorship).

2. Description of Service

Todaywise is an AI-powered daily planning and task management application that helps users organize their tasks, set reminders, and improve productivity. The Service includes:

• AI-powered task suggestions and productivity insights
• Calendar and reminder functionality
• Cloud synchronization across devices
• Both free and premium (Pro) subscription tiers

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep this information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

4. Subscription and Payments

4.1 Subscription Plans

Todaywise offers both free and paid subscription plans. The Pro subscription provides access to premium features as described in the app and on our website.

4.2 Pricing and Currency

All prices are displayed in Indian Rupees (INR). Prices are subject to change, but changes will not affect existing subscriptions during their current billing period.

4.3 Payment Processing

4.4 No GST

As a business operating below the GST threshold (annual turnover under ₹20 lakhs), Todaywise is not registered for GST. Therefore, GST is not charged or collected on any subscriptions.

4.5 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation stops future billing but does not result in a refund for the current billing period. 5. User Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit malware, viruses, or harmful code
• Harass, abuse, or harm other users
• Create multiple accounts to abuse free trials or promotions

6. Intellectual Property

6.1 Our Rights

Todaywise and its original content, features, and functionality are owned by Todaywise (Sole Proprietorship) and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 License to You

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes.

6.3 User Content

You retain ownership of any content you create or upload to the Service (tasks, notes, etc.). By using the Service, you grant us a license to store, process, and transmit your content solely for the purpose of providing the Service to you.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your data. By using the Service, you consent to our data practices as described in the Privacy Policy.

8. Service Availability

We strive to provide uninterrupted Service, but we do not guarantee that the Service will always be available, error-free, or secure. We may suspend the Service for maintenance, updates, or unforeseen circumstances.

9. Limitation of Liability

To the maximum extent permitted by law, Todaywise (Sole Proprietorship) and its proprietor shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or goodwill
• Any damages arising from service interruption or data loss
• Any damages exceeding the amount you paid to us in the past 12 months

This limitation applies even if we have been advised of the possibility of such damages.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The results from using the Service will be accurate or reliable
• Any errors in the Service will be corrected

11. Indemnification

You agree to indemnify and hold harmless Todaywise (Sole Proprietorship), its proprietor, and affiliates from any claims, damages, liabilities, costs, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your user content

12. Termination

You may stop using the Service at any time. You may also delete your account through the app settings or by contacting us.

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

12.3 Effect of Termination

Upon termination:

• Your right to use the Service ceases immediately

• Any outstanding payments remain due
• Sections that by their nature should survive termination will continue to apply

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Guntur, Andhra Pradesh, India.

For the purpose of legal proceedings, Todaywise is operated as a Sole Proprietorship from Amaravati, Andhra Pradesh - 522020, India.

14. Changes to Terms

We may modify these Terms at any time. We will provide notice of significant changes by:

Your continued use of the Service after changes constitutes acceptance of the revised Terms.

15. Severability
